This public offer sets out the terms on which the operator of OnCourt provides clubs with access to the OnCourt platform for a fee. A club accepts the offer as described below; no signed paper contract is needed.
Parties and definitions
The "operator" is the sole proprietor (FOP) who runs OnCourt; the operator's details are shown at the end of this page. A "club" is a sports club, a sole proprietor or a company, that uses OnCourt to manage its courts. A "plan" is the subscription tier or the per-booking commission agreed for the club. A "period" is the month or year a plan is billed for. "Online booking" means bookings players make themselves on the club's OnCourt page.
Subject
The operator gives the club access to OnCourt as a service (software as a service): the club's public booking page, its courts and schedule, its clients and bookings, notifications and reports. The operator doesn't sell court time or other services of the club.
TODO owner/legal: the moment the offer is accepted (the club owner's first sign-in, or a written agreement).
Prices and plans
The current plans and prices are on the pricing page. The operator sets each club's plan: a subscription by the number of active courts, or a commission on each booking that took place, at rates agreed with the club. Prices are in Ukrainian hryvnias (UAH), VAT not applicable (single-tax payer).
TODO owner/legal: notice period for price changes.
Payment
The club pays by card through LiqPay (a saved card is charged on the due date; LiqPay may place and release a small verification hold when the card is saved) or by bank transfer (IBAN) against an invoice, within the number of days stated on the invoice. An act of services rendered is issued for every period.
TODO owner/legal: invoice and act wording, currency clause.
Service delivery
The service is delivered by giving the club access to OnCourt for the paid period. OnCourt is provided "as is": the operator works to keep it available and accurate but doesn't guarantee that it is free of errors or interruptions. Support is available through the contacts at the end of this page.
TODO owner/legal: service level, or a statement that none is guaranteed.
Trial
Every club starts with a free trial. Its length is agreed when the club is onboarded. The first invoice for the chosen plan is issued when the trial ends.
Changes, refunds and cancellation
An upgrade applies at once; the difference for the current period is prorated. A downgrade applies from the next period. An annual prepayment isn't refunded but is credited against the club's invoices. The club can cancel at any time: the plan runs to the end of the paid period and no further invoices are issued.
TODO owner/legal: refund cases and statutory refund rights.
Suspension and blocking
If an invoice isn't paid by its due date, the club gets a grace period (the number of days is on the pricing page). After it, online booking for players is paused until the invoice is paid; bookings the club enters itself keep working and the club's data is kept.
TODO owner/legal: data retention after termination.
Termination
Either party may end the agreement at the end of a period. The operator may end it earlier if the club breaks this offer or the Terms of Service.
TODO owner/legal: termination procedure and notice.
Liability and governing law
TODO owner/legal: limitation of liability, governing law and jurisdiction (mirror of the Terms of Service).
